1. Who we are and what you are agreeing to
These Terms are an agreement between you and Shridhi NextGen Ventures LLP (LLPIN: ADC-5478), registered at 704, 7th Floor, T-28, Lotus Panache, Sector 110, Maharishi Nagar, Gautam Buddha Nagar, Noida, Uttar Pradesh, India, 201304 ("BizPrep", "we", "us"). They apply to our website, app and every BizPrep service (together, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use BizPrep.
If you are using BizPrep on behalf of a business, you confirm you are authorised to bind that business, and "you" means both you and that business.
2. What BizPrep is, and what it is not
BizPrep is a loan readiness and document-preparedness platform for micro and small businesses and for Chartered Accountants (CAs) and CA firms. Depending on your plan, the Service may include:
BizLearn and BizScheme: information on government loan schemes and scheme matching
BizDocs: document checklist, review and correction guidance
BizScore: an indicative readiness score
BizMap: a step-by-step readiness roadmap
Bizi: an AI assistant for general questions
BizApply: an pre-filled application for you to review
BizVault (CA accounts): client records and dashboards
BizPrep is not a bank, NBFC, lender, loan marketplace, lending service provider, loan agent or direct selling agent, account aggregator, payment system operator, CA firm, law firm or registered financial adviser. We do not lend, arrange, underwrite, approve or reject credit, and we do not guarantee any outcome.
We receive no commission, fee, referral payment or other consideration from any lender, bank, NBFC or financial institution, whether on loan sanction, disbursement or otherwise. Our only revenue from you is your subscription or service fee. If this ever changes, we will disclose it prominently and obtain your consent before continuing to serve you. BizApply prepares a draft application for your review. You must review every detail and confirm its accuracy . BizPrep does not submit applications to lenders on your behalf and does not act as your agent in any dealing with a lender.
3. Eligibility & Accounts
You must be at least 18 years old and legally able to enter a binding contract.
The Service is intended for businesses and professionals in India. We do not knowingly provide the Service to persons outside India.
You must give accurate information when you register and keep it up to date.
You may use BizPrep as a business owner or as a CA/advisor, as the account type you chose. If you use it for a business, you confirm you are authorised to act for that business.
Keep your credentials confidential. You are responsible for activity under your account. Notify us immediately at contact@shridhinextgenventures.in if you suspect unauthorised access. We may require identity verification before restoring access.
One account per person or business, unless we agree otherwise in writing.
We may verify your identity, business registration (Udyam, GSTIN, PAN of the business) or authority, and may suspend access where verification fails or fraud is suspected.
4. Plans, fees and payments
BizPrep offers a free plan and paid plans. The features, prices and limits (for example, the number of Bizi messages) of each plan are shown on our pricing page at the time you buy.
CA and advisor pricing, including any per-client or bundle pricing, is shown on our pricing page or in your CA agreement. [Confirm final CA model.]
Prices are in Indian rupees and are exclusive of Goods and Services Tax (GST). GST invoices will be issued to the details you provide. You are solely responsible for the accuracy of your GSTIN.
Payments are processed by Razorpay, a payment gateway regulated under Indian law. We do not store your card, UPI or bank account credentials.
Paid plans are one-time purchases and do not renew automatically, so no recurring charge is made and no auto-renewal cancellation is required.
We may change prices or plans. Changes will not affect a plan you have already paid for until it ends, and we will tell you before any change takes effect.
5. Refunds and cancellation
In this Section 5, "Company" means Shridhi NextGen Ventures LLP ("BizPrep", "we" or "us") and "User" means you. This Section 5 is our Refund and Cancellation Policy, which is also available on its own page.
All paid plans on the Service are one-time purchases and do not renew automatically. Accordingly, no recurring charge is made to the User and no auto-renewal cancellation is required.
5.1 Refund eligibility
A User who has purchased a paid MSME plan (Essential, Pro or Premium) may request a refund, and the amount refundable shall depend upon the time at which the request is made, measured from the time of successful payment:

Prices are exclusive of Goods and Services Tax. The refund shall be calculated on the amount actually paid by the User, and the manner in which tax is treated on a refund shall be as required by applicable law.
The Company may, at its sole discretion, grant a refund exceeding the foregoing percentages in an individual case. Such a grant shall not constitute a precedent.
5.2 Failed, duplicate and erroneous transactions
Where a User is charged in duplicate, or where payment is debited but the plan is not activated due to a technical failure, the Company shall refund the full amount so debited, upon verification, irrespective of the percentages stated in Clause 5.1.1. Such amounts shall be refunded within the period stated in Clause 5.4.2.
5.3 Non-refundable items
The following are not eligible for any refund:
pay-as-you-go message top-ups for Bizi that have been consumed in whole or in part;
fees payable by Chartered Accountants, once the associated client transaction has been completed; and
any portion of a plan period during which the User’s account was found to be in breach of these Terms.
5.4 Procedure and timelines
A request for refund shall be made in writing to contact@shridhinextgenventures.in, stating the registered email address or mobile number of the account and the order or payment reference.
Each request shall be reviewed, and if found eligible, the refund shall be processed within ten (10) working days of approval.
Approved refunds shall be credited to the original mode of payment used at the time of purchase, through Razorpay. The time taken for the amount to reflect in the User’s account depends on the User’s bank or payment provider and is beyond the Company’s control.
5.5 Cancellation and discontinuance
A User may discontinue use of the Service or close his or her account at any time. Cancellation or closure shall not of itself entitle the User to a refund, except as provided in this Section 5 or as required by law.
Where the Company withdraws a paid feature, the Company shall notify the User as provided in these Terms.
5.6 Amendments
The Company may amend this Section 5 from time to time. The version of this Section 5 in force at the time of a purchase shall govern that purchase.

6. Your information and documents
You are responsible for everything you upload or enter, including its accuracy, completeness and legality.
You confirm that you are entitled to upload each document. Where a document relates to another person or business (including your employees, partners, co-owners, guarantors or clients), you confirm you have obtained all necessary notices and consents from them, and you will provide evidence on request.
You own your data. You grant us a limited, non-exclusive, royalty-free licence to host, process, analyse and display your data solely to provide, secure, support and improve the Service for you, and as described in the Privacy Policy.
We will not share your documents or financial data with lenders, banks or other outside parties without your specific, informed and separate consent for that particular disclosure except where disclosure is required by law, court order or a lawful request from an authorised authority, in which case we will notify you unless legally prohibited.
We do not sell your personal data, and we do not share it for advertising or third-party marketing.
You own your information. We own the reports and tools we create, but you may use the reports we generate for you for your own business purposes.
Data protection, consent and security
We process personal data as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (DPDPA) and the rules made under it. Where you are a Chartered Accountant (CA) using BizPrep for your clients, you act as the Data Fiduciary, and we act as a Data Processor processing data strictly on your instructions under the CA Agreement / Data Processing Addendum.
Before collecting personal data, we give you a clear notice of what we collect, why, and how to withdraw consent. Your consent is separate from your acceptance of these Terms, is itemised by purpose, and can be withdrawn at any time from your account or by writing to the Grievance Officer. Withdrawing consent may mean we can no longer provide some or all of the Service.
You may access, correct, update and erase your personal data, obtain a summary of processing, nominate another person to exercise your rights, and raise a grievance. We will respond within ___ days. Details are in the Privacy Policy.
Third-party data retrieval- We will only retrieve data about you from a third party (for example GST data through an authorised service provider, or bank statement data through an RBI-licensed Account Aggregator) after you give specific consent for that retrieval, and only to the extent that consent allows. We will never ask you for your net-banking, income-tax portal or GST portal passwords or OTPs, and you must never share them with us or anyone claiming to represent us.
Breach - If a personal data breach affects you, we will notify you and the Data Protection Board of India as required by law, and tell you what happened and what to do.
7. Bizi and other AI features
Bizi and parts of our document analysis use Artificial Intelligence (AI). AI can be inaccurate, incomplete or out of date. Its outputs are general guidance, not legal, tax, accounting, financial or regulatory advice. AI outputs are not decisions. No eligibility, score or recommendation is treated by us as final without your review, and you remain the decision-maker. Please check important details with your CA, the relevant government portal or the lender before you act.
8. Scores, reports and recommendations
Readiness scores, scheme matches, roadmaps, generated applications and other recommendations are indicative. They show how prepared you may be, not whether a lender will approve you. Final approval depends on the lender's own assessment, policies and checks. Scheme rules and eligibility can change, and we try but cannot promise that our information is always current.
BizScore is not a credit score, credit rating, credit information report or CIBIL/bureau score, is not issued by or endorsed by any bank, bureau, government body or regulator, and has no standing with any lender.
BizPrep is not responsible for a loan rejection, delay or other result that follows from relying on our reports. Please use your own judgment.
9. Additional Terms for Cas, Firms and advisors
If you use BizPrep as a CA, CA firm or advisor:
You must have your client's permission before adding their information to BizPrep.
You remain solely responsible for your professional advice and for your compliance with the rules of your profession. BizPrep does not supervise or endorse your advice.
You decide what to charge your own clients. BizPrep is not a party to that arrangement.
Your access to a client's information ends when the client removes you or your account is closed.
You must not use client information for any purpose other than serving that client.
BizPrep and you are independent. Nothing creates a partnership, employment or agency between us.

10. What you must not do
You agree not to:
Upload fraudulent, forged, altered, backdated or fabricated documents or false information
Use BizPrep for money laundering, tax evasion, fraud, impersonation or any unlawful activity
Impersonate another person or business, or upload another's documents without authorisation
Present our reports or scores to a lender or anyone else in a misleading way, or claim they are issued by a bank or government body
Share your login or let others use your account
Copy, scrape, reverse-engineer or attempt to extract our scoring models, prompts or systems
Use bots or automated tools to access the Service without our written permission
Misuse Bizi, for example to create harmful or unlawful content, or to attempt to get around our safeguards
Interfere with or disrupt the Service or its security
Resell, sublicense or provide the Service to third parties as your own, except as expressly permitted for CA accounts
Fraud - We may refuse, suspend, remove content, preserve records, and where required by law report suspected document fraud or financial crime to the relevant authority, including the affected lender where legally permitted.
11. Third-party services, lenders and links
BizPrep may show or link to banks, NBFCs, lenders, government portals and other services, and may rely on services such as Udyam and GST data providers. We do not control them and are not responsible for their content, availability or decisions. Your dealings with them are governed by their own terms.
12. Intellectual property
The BizPrep name, logo, Bizi, our software, scoring models, report formats, content and design belong to BizPrep or its licensors. We give you a limited, personal, non-transferable right to use the Service for its intended purpose. You may not copy, sell, distribute or create derivative works from our materials without our written permission.
If you voluntarily send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.13. Availability and changes to the Service
We work to keep BizPrep running, but we do not promise it will always be available or error-free. We may update, change or stop features, for example for maintenance, security or legal reasons. If we remove a paid feature you have paid for, we will tell you and [offer a pro-rata refund or alternative].
14. Suspension and ending your account
You may delete your account at any time from your settings or by writing to us.
We may suspend or terminate your access if you materially breach these Terms, create legal or security risk, or where required by law. Except where immediate action is necessary (fraud, security, legal compulsion), we will give notice and a reasonable chance to fix the problem.When your account ends, we will delete your uploaded documents and generated reports within [30] days, except where the law requires us to keep certain records, as set out in the Privacy Policy.
Sections that by their nature should continue (for example, intellectual property, liability and disputes) continue after your account ends.
15. Disclaimer
To the maximum extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We do not warrant that the Service will meet your requirements, that information is current or error-free, that AI output is accurate, or that you will obtain finance, a particular loan amount, rate or timeline.
16. Limitation of liability
To the maximum extent permitted by law, BizPrep is not liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, lost business or loss of opportunity, arising from your use of the Service. Our aggregate liability for all claims in any 12-month period is limited to the greater of (a) the total fees you paid us in the 12 months before the claim, or (b) Rs. ____. Nothing in these Terms limits liability that cannot be limited under Indian law.
17. Indemnity
You will indemnify and hold us harmless against third-party claims, and resulting losses, damages and reasonable legal costs, arising from: (a) your material breach of these Terms; (b) your unlawful use of the Service; (c) false, forged or fraudulent information or documents you provide; or (d) for CA accounts, your lack of client authorisation or your professional conduct.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or power failure, failure of a government portal or third-party API, cyber-attack, natural disaster, epidemic, war, strike, or change in law or regulatory direction. Affected obligations are suspended, not excused, and the affected party will notify the other promptly. This does not excuse payment of amounts already due.
18. Governing law and disputes
These Terms are governed by the laws of India. [Choose: (a) Raise the issue with our Grievance Officer. We will acknowledge within 48 hours and aim to resolve within 30 days. If unresolved, both parties will attempt to settle the dispute in good faith for ___ days. 19. Changes to these Terms
We may update these Terms. For changes that materially affect your rights or obligations, we will notify registered users by email and in-app at least ____ days before they take effect, and publish the updated version with a new version number and date. Continued use after the effective date means you accept the revised Terms. If you do not agree, you may close your account before the effective date and receive a pro-rata refund of prepaid fees for the unused period. Previous versions remain available at ______.
20. General
If any part of these Terms is found unenforceable, the rest stays in force.
Failure to enforce a right immediately is not a waiver of it.
You may not assign these Terms without our consent. We may assign them in a merger, acquisition, financing or restructuring, provided the data protection commitments continue to applyWe will communicate by email to your registered address and through in-app notices. These Terms and the Privacy Policy are the whole agreement between you and BizPrep about the Service.
No one other than you and us may enforce these Terms.
Nothing creates a partnership, agency, joint venture or employment relationship.
